Gabriel India and Forvia are forming a new joint venture for passenger-vehicle seating in India, with the company planned to have ₹100 crore in paid-up equity share capital after closing. The partnership will manufacture seat frames and complete seats, while Forvia says it is targeting approximately 10% of India's automotive seating market within the next five years.
The new company is proposed to be named Faurecia Anand Seating India Private Limited. Forvia, through Faurecia Automotive Seating India, will hold 50% plus one equity share, giving it control of the venture, while Gabriel India will hold 50% less one share.
The ownership structure and business scope are confirmed in Forvia's October 6 announcement. Gabriel India's stock-exchange disclosure, reproduced with the filing details by BazaarWatch, sets out the investment amounts and transaction structure.
₹100 crore is the JV's planned paid-up equity capital
The ₹100 crore figure refers specifically to the joint venture's paid-up equity share capital after the agreed funding is completed. It should not be read as a disclosed total project cost, factory investment or valuation of the business.
The partners plan to invest an initial ₹20 crore when the company is incorporated. Gabriel India will contribute ₹9,99,99,990, while Faurecia Automotive Seating India will contribute ₹10,00,00,010.
At closing, the two companies plan a further aggregate investment of ₹80 crore, with each contributing ₹40 crore. Gabriel India's total equity investment will therefore be ₹49,99,99,990, while Faurecia Automotive Seating India's contribution will reach ₹50,00,00,010.
That will take the JV's paid-up equity share capital to ₹100 crore while preserving the 50% less one share and 50% plus one share ownership structure.
What the Gabriel India-Forvia JV will make
The venture will develop, manufacture, assemble, market, sell and distribute passenger-vehicle seats, including complete seats and seat components or sub-assemblies. Forvia says the partnership will focus particularly on seat frames and complete seating systems.
The JV will also have access to Forvia Seating's technology portfolio and engineering capabilities. Forvia said combining those capabilities with Anand Group's Indian customer relationships and local footprint should strengthen its access to domestic vehicle manufacturers.
Gabriel India said the investment will diversify its business into a powertrain-agnostic automotive component segment. That means the seating business can serve vehicles regardless of whether they use internal-combustion, hybrid or electric powertrains.
The 10% target belongs to Forvia's India seating strategy
Forvia says the new partnership supports its broader ambition to reach approximately 10% market share in automotive seating in India over the next five years. The target is therefore Forvia Seating's stated growth ambition, rather than a guaranteed market share for the newly formed JV itself.
Forvia described the 10% level as a first milestone in its longer-term development plans for India. The company expects the venture to improve its local industrial footprint, supply chain capabilities, access to talent and relationships with Indian manufacturers.
BusinessLine reported that India's automotive seating market is heading toward about €4 billion, highlighting the scale of the opportunity the companies are targeting. The market-size estimate is an industry outlook rather than a guaranteed future value.
Forvia's existing seat-frame business will move into the JV
Gabriel India's disclosure also provides for Faurecia Automotive Seating India's existing frames business to be transferred to the new company under a separate business transfer agreement. The disclosed scope excludes seating mechanisms.
The parties also plan separate technology and intellectual-property licensing arrangements involving Forvia, along with management and corporate-service agreements supporting the new company.
What happens next
Forvia says the transaction is expected to close by the end of 2026, subject to customary conditions and applicable regulatory approvals. Gabriel India's filing gives December 31, 2026, or another mutually agreed date, as the indicative completion timeline.
The companies have not announced customer names, production volumes or revenue targets for the new seating operation. Those details, along with future vehicle-program awards, will show how quickly the partnership contributes to Forvia's stated goal of building roughly a 10% position in India's automotive seating market.
